License agreement for the use of the API
Parties
The license conditions and this agreement (the “Agreement“) are provided by Sajnat Sweden AB (“Sajnat“), 559247-3135, Möllerikevägen 1, 241 96 Stockamöllan and areaccepted by the user (“you, you, you“) when the user uses the API provided by Sajnat.
Background
Sajnat provides an API (the “API”) that gives you access to information, code and other materials (“API Content”).
The agreement describes the conditions under which the API is provided, how we expect you to use the API and what you are entitled and obliged to do when using the API content in your own products or services.
By using the API, you accept this Agreement and certify that you have read, understood and agree to the terms and conditions set forth herein, and the documents to which the Agreement refers.
1. license
Sajnat hereby grants you a non-exclusive, non-transferable, non-assignable and revocable license to use the API in accordance with this Agreement. This license does not restrict Sajnat’s or our data sources’ right to freely use, develop, modify and stop providing the API, API Content and related products and services.
However, as set out below, we will keep you updated on changes to the API and our ability to provide the API.
Instructions and documentation for using the API are available on sajnat.se where you can also apply for access to the API. The price for the use of the license will be agreed between you and Sajnat before start-up.
2. Intellectual property rights
2.1 Sajnat and/or the third parties with whom we collaborate hold the ownership and intellectual property rights to the API. Therefore, unless you have received our specific written consent, you do not have the right to claim ownership of, publish, copy, transfer, license or otherwise dispose of the source code or call structure of the API in any other intellectual property-relevant manner.
2.2 By joining the API, you grant Sajnat a non-exclusive, non-transferable and non-assignable license to refer to your company and any products and services in which you use the API content (including any trademarks you hold for such products or services), for the purpose of communicating your use of the API. Sajnat’s right to use your company name and trademarks is limited to references made for this purpose.
3. Processing of personal data
3.1 When you choose to connect to the API, you and your users may need to register certain personal data relating to you. By registering your personal data, you consent to Sajnat processing your personal data in accordance with our General Terms and Conditions and Data Processing Agreement, both available at sajnat.se.
4. Technical requirements and limitations
4.1 You may only connect to the API in accordance with our instructions and may not technically access, disrupt or disable the API. This means, but is not limited to, that you undertake not to spread viruses, worms, trojans or other malicious code in the API or on the website where the API is provided.
5. Other requirements for your use
5.1 Your access to the API and the API Content is subject to You paying for Your use in accordance with the prices and payment terms set out in the attached price list.
5.2 You are not allowed to use the API or API content for products or services that may harm Sajnat’s business or conflict with our interests.
5.3 You may not use the API or API Content for products or services that violate, or encourage the violation of, applicable laws and regulations.
5.4 If you have any questions about the meaning of the restrictions set out in this section “Other Requirements for Your Use” or wish to use the API or API Content in any way other than as set out herein, please contact us at info@sajnat.se. However, you are not entitled to start such other use until you have received our written consent.
6. responsibility
6.1 Sajnat has high aspirations and requirements regarding the security, reliability and performance of the API, but you are aware and accept that Sajnat makes no representations or warranties in this regard. Thus, notwithstanding our Technical Documentation, Change Management Policy, or any description of the API’s operation in connection with the provision of the API, you cannot expect the API to be free of errors, free of security issues, up to date, or a suitable data source for the products or services in which you intend to use it.
6.2 You are aware and accept that you use the API at your own risk, and that Sajnat is not liable for any indirect damages incurred by you due to your use of, or inability to use, the API or the API Content. For the purposes of this Agreement, indirect damages include, for example, loss of profits, loss of use of your products or services, compensation for the use of a substitute service, loss of data, troubleshooting costs, damage to goodwill, and damage due to viruses and other security-related problems. You also accept that Sajnat’s total liability to you due to your use or inability to use the API or API Content is limited to SEK 5,000.
6.3 You agree to indemnify Sajnat, our partners and employees against any third party claims arising from your use of the API or the API Content in breach of this Agreement.
7. Changes
7.1 We reserve the right to update and change the API and the content of the API as set out below.
7.2 Change management policy
In case of changes in one of our APIs, we will inform you as a user with as much notice as possible. Our ambition is to inform you as a user as follows:
- Information about a major change in an API is provided at least three months before the change takes effect, by email to the email address you used to register your account. By a major change we mean a change that may either disrupt services using the API or require changes to the implementation of such services.
- Information about a minor change will be communicated in the API documentation at the latest when the change is implemented. By a minor change, we mean any change that is not a major change.
- Emergency changes (e.g. due to security issues) are deployed as soon as possible and communicated on our website. While we aim to provide information about emergency changes before such a change is implemented, we may not be able to provide information about an emergency change until afterwards.
- Information about any disruptions or problems in an API will be communicated through messages on our website and, where we consider it appropriate, by email to the email address you have used to register your account.
- Information about the complete removal of an existing API will be provided at least three months in advance by email to the email address you used to register your account.
- Information on changes to the license conditions is communicated by publishing a new version of the license text on our website at least three months before the new version enters into force.
7.3 By continuing to use the API after a change has been made, you confirm that you accept the change. If you do not wish to accept a change, you are no longer entitled to use the API and must terminate your connection to the API in accordance with the “Term and Termination” section below.
8. contract duration and termination
8.1 This Agreement, and your license to the API, comes into effect upon your acceptance of the Agreement and is valid for as long as Sajnat provides the API, unless terminated early in accordance with this section “Term and Termination”.
8.2 Sajnat reserves the right to terminate this Agreement with immediate effect and to suspend your connection to the API if you use the API or the API Content contrary to what is stated herein. We also reserve the right, at our reasonable discretion and upon prior notice to you in accordance with our Change Management Policy above, to permanently or temporarily stop providing all or part of the API or API Content.
8.3 You have the right to terminate this Agreement at any time, without cause and free of charge. Such termination is done by canceling your connection to the API.
8.4 If your right to use the API is terminated, you are required to immediately terminate and delete your connection to the API and any references to our company and trademarks used in your products or services.
9. Other
9.1 This Agreement and its annexes and references constitute the complete settlement of all matters relating to Your right to use the API and the API Content.
9.2 You are not entitled to transfer your rights and obligations under this Agreement to a third party. Sajnat reserves the right, after specific notification to you, to transfer the Contract to companies within our group and to a third party that acquires all or part of our business.
9.3 This Agreement shall be governed by and interpreted in accordance with Swedish law. Any disputes arising from this Agreement shall be settled by the Swedish courts.
